FREIGHT TERMS AND CONDITIONS IN ADDITION TO GENERAL TERMS AND CONDITIONS

INSURANCE          

MANUEL is pleased to offer you optional insurance for any declared value on your valuable cargo. If you need additional insurance, please contact your MANUEL representative accordingly and we will be happy to provide an insurance estimate. Note that optional insurance coverage excludes rust, oxidization, discoloration, scratching, denting, chipping, damage from tarping, or any internal electrical or mechanical derangement (not caused by collision or accident). Unless agreed to beforehand, cargo insurance and subsequently MANUEL’s maximum liability is $2.00 per lb or $4.41 per kg.

TRANSPORTATION SPECIFICS

Prior to any commitment from MANUEL a detailed review is recommended to be completed based on a mutually agreed upon execution plan. This will include review of the scope of work, delivery to site, schedule, equipment availability, permit regulations, route studies, wire lifting, utility service requirements and operations in the areas that would be affected by the move. Engineered drawings of equipment and site plot plans and a site visit may be required at a minimum to complete detailed operational and route surveys.

GENERAL TERMS AND CONDITIONS

  1. Client: The term “Client” will mean the person or company that contracts the work to Manuel Transportation and Freight Services and is responsible for paying the invoice.
  2. All quotes provided are in Canadian Funds, unless expressly stated otherwise.
  3. Quotation is valid for 30 days from date of request, unless otherwise expressly stated.
  4. MANUEL price is subject to change, if weights are different from those stated in the original quotation. The price may also be subject to change should any of the dimensions vary from those stated in the original quotation.
  5. Quoted prices do not include any applicable taxes, taxes will be charged appropriately as per the legal governing jurisdiction.
  6. Terms: Net 30 Days from invoice date. Interest at 2% per month (24% per annum) charged on all overdue accounts.
  7. If MANUEL is delayed in the performance of the works due to the fault of the purchaser or its affiliates, MANUEL shall be entitled to be reimbursed for any costs incurred as a result. Time and material rates apply.
  8. MANUEL will make every reasonable effort to make delivery as requested, but the estimated pickup or delivery time is not guaranteed.
  9. Rates are based on goods being released at a value of $2.00 per pound per article, not to exceed $100,000 per truckload unless a higher value is declared and accepted in writing prior to loading. Extra valuation charges apply.
  10. This quotation is limited to the scope of work detailed herein and governed by the terms in this quotation.
  11. Fuel surcharge, if applicable, is based on current rates and may change at time of shipping.
  12. Loading and unloading is the responsibility of others. Assistance for MANUEL equipment assembly/disassembly must be provided free of charge.
  13. MANUEL reserves the right to use discretion in selecting routes or methods of transport.
  14. MANUEL will prioritize specified methods of handling but reserves the right to use alternatives if needed.
  15. Prices are based on accessible and suitable ground/site conditions. The client is responsible for access and any related damages or towing needs, including repairs to MANUEL’s equipment.
  16. Subject to equipment availability at time of firm order.
  17. Quotation is subject to permit approval. Additional costs apply for permit condition changes.
  18. Shipping drawings/photos showing dimensions, center of gravity, tie-downs, etc., must be provided. Any variation may change the quote. Lifting and securing provisions are the client’s responsibility.
  19. Loads exceeding 16’ or 200,000lbs require at least 60 working days’ notice for permitting.
  20. All transported items must not contain hazardous materials.
  21. MANUEL may broker or subcontract loads at its discretion. These terms apply to all such arrangements.
  22. The client must appoint a Customs Broker and pay all applicable duties/taxes. MANUEL is not responsible for delays or costs due to client errors or omissions in documentation.
  23. Permit costs are billed separately. Super load permits may take 90–120 days. Additional costs may apply due to construction, jurisdiction changes, etc.
  24. Rates are not valid during seasonal road restrictions.
  25. Chain up/off services are charged per occurrence at applicable rates.
  26. Item, route, or site inspections are billed separately regardless of result.
  27. MANUEL pricing includes 2 hours for loading and 2 hours for unloading. Extra time results in demurrage charges to the client.
  28. Additional services such as escorts, utility work, engineering, etc., are billed at cost plus.
  29. Tarping/wrapping for environmental protection is extra unless otherwise noted.
  30. All goods must be adequately packaged and braced. MANUEL is not responsible for damage due to insufficient preparation.
  31. MANUEL is not liable for direct or indirect delays or damages beyond its control.
  32. Delays outside MANUEL’s control may incur extra charges.
  33. 48” vertical and 12’6” horizontal clearance is required for self-loading/offloading trailers.
  34. Overtime applies to weekend/holiday work or after-hours service unless stated otherwise.
  35. All work is subject to applicable government rules and regulations.
  36. Exclusive Non-Poaching Provision: For 7 days after the project concludes, the client shall not solicit MANUEL’s sales, logistics, or operations staff. This is a one-way provision benefiting MANUEL only.
  37. Change orders: Clients may request changes. MANUEL must approve them. Additional costs will be detailed in a formal change order and require acceptance before proceeding.
  38. Cancellations up to 14 days in advance may be made without penalty. Later cancellations may incur a service charge.
  39. Confidentiality: All documents provided by MANUEL are confidential. Redistribution without written consent is prohibited.
  40. Estimate Acceptance: By accepting the estimate via email, P.O., or award, the client accepts these terms and authorizes MANUEL to proceed and incur project-related costs. All freight is subject to these terms regardless of explicit agreement.
